End User License Agreement (EULA)

This End User License Agreement (“EULA”) governs your use of the evoglyph macOS application. It is a legal agreement between you and Eluketronic LLC. By installing, activating, or using evoglyph, you agree to these terms.

Effective date: June 23, 2026. This EULA is a legal agreement between you (“you” or “Licensee”) and Eluketronic LLC, a New York limited liability company (“Eluketronic,” “we,” or “us”), for the evoglyph macOS application and any accompanying models, data files, and documentation (together, the “Software”). If you do not agree, do not install or use the Software. This EULA works together with the Terms of Service, Privacy Policy, and Refund Policy; if a direct conflict arises, the order of precedence in Entire agreement applies.

License grant

Subject to your compliance with this EULA and payment of any applicable fees, Eluketronic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your personal or commercial purposes on macOS.

Per-device activation. Each license entitles you to activate the Software on up to two (2) devices, unless your plan specifies a different number, in which case the permitted count is shown at checkout. Activation and periodic re-validation occur against Eluketronic’s licensing service; the license key is stored in your macOS Keychain. You can free a device slot yourself from within evoglyph — see Licensing and activation for details.

Offline use. A licensed copy of evoglyph keeps working offline; we do not disable it for being offline. Only an explicit online check that returns expired, disabled, or refunded changes your license state.

Ownership

The Software is licensed, not sold. Eluketronic and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. No rights are granted except as expressly stated in this EULA. evoglyph is proprietary software; its source code is not made publicly available.

Third-party components

The Software incorporates third-party components, including machine-learning models (for example, speech-to-text, voice-activity-detection, and AI-cleanup models) that are downloaded on first launch and run on your device. These components are provided under their own license terms, which are included with the Software and which govern those components. To the extent a third-party component’s license conflicts with this EULA as to that component, that license controls for the component.

Updates

Eluketronic may provide updates, upgrades, bug fixes, or new versions of the Software. Unless accompanied by a separate license, such updates are governed by this EULA. The Software may check for and install updates as described in the Privacy Policy; you can disable automatic update checks in Settings, though we recommend leaving them on to receive security fixes.

“Lifetime” licenses. A “lifetime” license is a perpetual license to use evoglyph and the updates we choose to provide. It is not a promise of perpetual support, future paid features, or indefinite updates.

Trial and license enforcement

The Software may be used on a limited free trial as described in the Licensing docs (up to 3,000 transcribed words or 7 days, whichever ends first). After the trial, full functionality requires an active license; absent one, dictation falls back to copying text to your clipboard. The Software enforces these limits on-device and via the licensing service.

Term and termination

This EULA is effective until terminated. It terminates automatically if you breach any of its terms. Eluketronic may also suspend or revoke your license for material breach (for example, key sharing or reverse engineering), with or without notice depending on severity. On termination, you must stop using and uninstall the Software. The Restrictions, Ownership, Disclaimer of warranties, Limitation of liability, Governing law, and Entire agreement sections survive termination. Termination for your breach does not entitle you to a refund.

Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. ELUKETRONIC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRANSCRIPTION OR AI-CLEANUP OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE RELYING ON IT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELUKETRONIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE.

To the maximum extent permitted by law, the total aggregate liability of Eluketronic LLC arising out of or relating to evoglyph, the EULA, or these Terms will not exceed the total amount you paid us for evoglyph.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you. Nothing in these terms limits or excludes liability that cannot be limited or excluded under the law that applies to you — including, where applicable, liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Export compliance

You represent that you are not located in, and will not use or export the Software to, any country subject to a U.S. government embargo, and that you are not on any U.S. government denied-party or sanctions list. You agree to comply with all applicable export-control and sanctions laws.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and you and Eluketronic LLC submit to the exclusive jurisdiction of the state and federal courts located in New York for any dispute, subject to any mandatory rights you have under the law of the country where you live. This is consistent with the Terms of Service.

Assignment

You may not assign this EULA. Eluketronic may assign it, including in connection with a merger, acquisition, or sale of assets. This EULA binds permitted successors and assigns.

Changes to this EULA

We may update this EULA from time to time. Non-material changes (typo fixes, clarifications that do not alter your rights) take effect immediately on publication. Material changes — such as changes to license scope, restrictions, or liability — will be announced via in-app notification or email to the address on your license, and will take effect no sooner than 30 days after that notice. The version in effect at the time of your purchase governs that purchase; previous versions are available on request.

Entire agreement

The Terms of Service, the End User License Agreement, the Privacy Policy, and the Refund Policy together form the entire agreement between you and Eluketronic LLC regarding evoglyph, and they supersede any prior understanding or representation. Read them together. If a direct conflict arises, the EULA governs questions about your license to use the software, and the Terms govern the commercial relationship (purchase, billing, and refunds). If any provision is unenforceable, the remainder stays in effect.
